Promissory Note

Terms

♦ For value received, the Borrower (1733 Capital Partners, LLC) shall pay to the Lender (you) the principal sum indicated and fixed interest payable at the rate of 0.83% per month (10.00% per 12 month period)

♦ The principal shall be available for full repayment via lump sum after 12 month from the approved date of this Note

♦ Either party may terminate this Note at any time for any reason by providing a 90 day written notice to the other party

♦ All subsequent transactions shall be subject to the terms of this Note

♦ This Note shall be construed in accordance with and governed by the laws of the State of Georgia

♦ Any disputes arising under this Note shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association

♦ The arbitration shall be held in Georgia

♦ This Note shall be legally binding between the Borrower (1733 Capital Partners, LLC) and the Lender (you)

♦ The Lender (you) is passive in all aspects of the Borrower (1733 Capital Partners, LLC)

♦ This Note shall only be active once approved by 1733 Capital Partners, LLC
